Programs: Christus st. Joseph's health system, through an asset sale and purchase agreement dated september 19, 2003, sold substantially all its assets to essent healthcare, inc. The closing date of the transaction was december 31, 2003. The assets included two hospital campuses, the home health agency and a hospice, as well as several affiliate entities or joint ventures to include - physical therapy clinic of paris, lp; ptcop, inc; radiology center of paris, ltd; magnetic imaging of paris, ltd; and texas and oklahoma preferred provider system (topps). Christus st. Joseph's health system had operated a major hospital located in paris, texas (incorporated in 1965) and a myriad of other health services, such as physician offices, clinics, outpatient services and programs located throughout a nine-county area of northeast texas and southern oklahoma. The organization needed to stay open because of open items with respect to claims settlements with insurance and health care providers and bankruptcy
