Cgh Health Services

Programs: Cgh health services is the sole corporate member of community general hospital of greater syracuse, cgh office building and cgh properties. It provides support and guidance to its member affiliates by providing prior approval of the following board decisions:(a)appointment of the president;(b)adoption of the corporation's annual operating, cash and capital budgets;(c)adoption of any long range business plan;(d)amendments to the organizational documents of the corporation;(e)approval of merger, consolidation, acquisitions of other medical facilities, formation of additional subsidiaries, or any other form of corporate reorganization;(f)participation in joint ventures;(g)dissolution of the corporation;(h)incurrence of debt;(i)selection of the corporation's auditor;(j)a policy relative to the transfer of title to or lease of any of the assets of the corporation; and(k)any other action of the corporation which is not in the ordinary course of the corporation's business. Cgh health services, community general hospital of greater syracuse (the hospital), cgh office building and cgh properties transferred substantially all assets and certain liabilities to the state of new york upstate medical university (upstate) pursuant to an asset purchase agreement effective july 7, 2011 by and between upstate, cgh health services, community general hospital of greater syracuse, cgh office building and cgh properties (the transaction). The hospital, cgh office building and cgh properties are in the process of winding down their affairs and cgh health services continues to provide support and guidance to them throughout this process.
