By visiting this Site, you represent and warrant that you have read, understand, have the legal capacity to, and hereby agree to be legally bound by these Terms. This Site is available ONLY TO USERS 13 YEARS OF AGE OR OLDER. REGISTRANTS BETWEEN THE AGES OF 13 AND 18 MUST HAVE A PARENT ASSIST IN THE COMPLETION OF REGISTRATION.
We reserve the right, at our sole discretion, to change, modify or otherwise alter these terms and conditions at any time. You can find the most recent version of these terms and conditions on the Site, with the date of last modification noted above. Such modifications shall become effective immediately upon the posting thereof. Therefore, we encourage you to check the date of our terms and conditions whenever you visit this Site to check if they have been updated. You must review this agreement on a regular basis to keep yourself apprised of any changes. If you do not agree to the revised terms and conditions, your sole recourse is to immediately stop all use of the Site. 1. YOUR REGISTRATION OBLIGATIONS. To obtain and use the Site, you will be required to register with GreatNonprofits by completing a registration form and designating a user ID and password. When registering with GreatNonprofits you agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the Site’s registration form (such information being the “Registration Data”) and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or we have grounds to suspect that such information is untrue, inaccurate, not current or incomplete, we may suspend or terminate your account and refuse any and all current or future use of the Site (or any portion thereof). You may not authorize any third party to access or use the Site on your behalf. You are responsible for maintaining the confidentiality of the user ID and password, and are fully responsible for all activities that occur under your user ID or password. You agree to immediately notify GreatNonprofits of any unauthorized use of your user ID or password or any other breach of security. GreatNonprofits cannot and will not be liable for any loss or damage arising from any unauthorized use of your account.
2. COPYRIGHTS. All content on the Site and/or on e-mails distributed to you from GreatNonprofits, including text, graphics, logos, button icons, and images, and the selection and arrangement of such content is the exclusive property of GreatNonprofits or its licensors and is protected by U.S. and international copyright laws. All rights not expressly granted are reserved.
3. TRADEMARKS. The trademarks, service marks, designs, and logos (collectively, the “Trademarks”) displayed on this Site and/or on e-mails sent to you are the registered and unregistered Trademarks of GreatNonprofits and of GreatNonprofits’ licensors. Your use of the Trademarks displayed on this Site, except as provided in these Terms, is strictly prohibited.
4. COMMUNITY GUIDELINES. All the reviews posted here are individual, subjective opinions. The opinions expressed are those of GreatNonprofits members and not of GreatNonprofits. We do not endorse nor are we affiliated with any nonprofit listed or reviewed on this web site. GreatNonprofits reserves the right to remove a review for any reason. To the extent that the Site provides Users to submit feedback, materials, information, ideas and opinions (“User Content”), you hereby represent and warrant that you have all necessary rights in and to all User Content you provide and all information contained therein.
You are solely responsible for your User Content. You assume all risks associated with use of your User Content, including any reliance on its accuracy, completeness or usefulness by others, or any disclosure by you of information in the User Content that makes you personally identifiable. You represent that you own, or have the necessary permissions to use, and authorize the use of your User Content as described herein. You may not imply that Your Content is in any way sponsored or endorsed by GreatNonprofits.
Because you alone are responsible for your User Content (and not GreatNonprofits), you may expose yourself to liability if, for example, your User Content violates a third party’s rights, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; contains material that is false, intentionally misleading, or defamatory; contains material that is unlawful, including illegal hate speech or pornography; exploits or otherwise harms minors; or violates or advocates the violation of any law or regulation.
You further agree to and hereby do grant, and you represent and warrant that you have the right to grant, GreatNonprofits, its contractors, and the users of the GreatNonprofits Site an irrevocable, perpetual, non-exclusive, royalty-free, fully sublicensable, fully paid up, worldwide license to use, copy, publicly perform, digitally perform, publicly display, and distribute such content and to prepare derivative works of, or incorporate into other works, such content. This license does not grant GreatNonprofits the right to sell User Content or otherwise distribute it outside of GreatNonprofits’ Site. You continue to retain all ownership rights in any User Content you provide and shall remain solely responsible for your conduct, your User Content, and any material or information transmitted to other Users for interaction with other Users. GreatNonprofits does not claim any ownership rights in any User Content.
Content posted by Users and other non-GreatNonprofits contributors are not reviewed by GreatNonprofits. GreatNonprofits shall have the right, but not the obligation, to reject, refuse to post, or otherwise monitor all content displayed by users, and may remove or require users to remove any and all content, including that which it deems to be (a) inconsistent with GreatNonprofits’ strategic mission and vision (including but not limited to content that contains undesirable images of or links or references to tobacco and alcohol products, profanity, pornography, violence or prejudicial content) and/or these Terms of Use; or (b) possibly in violation of applicable law. In addition, GreatNonprofits has the right to remove any content if GreatNonprofits has reason to believe that displaying such content may infringe the rights of a third party or subject GreatNonprofits to expense or liability. Please notify us at support(at)greatnonprofits.org of any content that you believe might violate applicable law or your intellectual property rights or contain undesirable images of or links or references to tobacco and alcohol products, profanity, pornography, violence, prejudicial content, or content that is obscene, lewd, lascivious, excessively violent or harassing.
Additionally, GreatNonprofits reserves the right, without limitation, to terminate your access to and use of the Site if, in our view, you :
• use the Site to threaten, stalk, defraud, incite, harass, or advocate the harassment of another person, or otherwise interfere with another user’s use of the Site;
• use the Site to promote bigotry or discrimination against protected classes;
• use the Site to transmit or post spam, chain letters, contests, junk email, pyramid schemes, surveys, or other mass messaging, whether commercial in nature or not;
• use the Site to transmit or post pornography or illegal content;
• use the Site to solicit personal information from minors or to harm or threaten to cause harm to minors;
• use the Site in violation of the Terms of Service or any applicable law
All judgments concerning the applicability of these guidelines shall be at the sole and exclusive discretion of GreatNonprofits. GreatNonprofits reserves the right, in its sole discretion, to determine whether and what action to take in response to each such notification, and any action or inaction in a particular instance shall not dictate or limit GreatNonprofits’ response to a future complaint. You acknowledge and agree that GreatNonprofits shall not assume or have any liability for any action or inaction by GreatNonprofits with respect to any User Content. Users shall remain solely responsible for User Content, and any material or information transmitted to other Users for interaction with other Users.
PLEASE NOTE THAT A USER’S FAILURE TO ABIDE BY THE COMMUNITY GUIDELINES DOES NOT CREATE AN OBLIGATION ON THE PART OF GREATNONPROFITS TO REMOVE, REVISE OR CORRECT CONTENT POSTED ON THIS SITE, NOR DOES SUCH FAILURE CREATE A THIRD PARTY CAUSE OF ACTION AGAINST GREATNONPROFITS.
5. USE OF SITE. You may use or download material displayed on this Site for noncommercial, personal use only. If you download material, you must retain all copyright and other proprietary notices displayed on the materials. You may not distribute, modify, transmit, post, or otherwise use the content of this Site and/or content contained in e-mails distributed to you from GreatNonprofits.org for public or commercial purposes without GreatNonprofits.org ‘s written permission. In addition, you may not use the Site in any way that violates applicable federal, state, or international law, or for any unlawful purpose. Further, you may not use the Site to send, receive, or download messages or materials that are inappropriate or violate the intellectual property rights of GreatNonprofits or others. GreatNonprofits.org reserves the right to refuse service, and terminate accounts if we believe that your conduct violates these Terms.
6. NOTICES AND PROCEDURE FOR MAKING CLAIMS OF COPYRIGHT INFRINGEMENT. GreatNonprofits respects copyright law and expects Users to do the same. GreatNonprofits expressly prohibits the use of its Site for the illegal transmission of copyrighted material, and will respond if notified by content owners to disable copyrighted material from being transmitted via its Site. In addition, GreatNonprofits may disable individual accounts if these accounts are found to be illegally transferring copyrighted material. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide GreatNonprofits’ Agent for Notice of claims of copyright or other intellectual property infringement (“Agent”) the written information specified below: (1) An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; (2) A description of the copyrighted work that you claim has been infringed upon; (3) A description of where the material that you claim is infringing is located on the Site; (4) Your address, telephone number, and e-mail address; (5) A statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; (6) A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf. 7. DISCLAIMERS; LIMITATIONS ON LIABILITY. YOUR USE OF THIS SITE IS AT YOUR OWN RISK. ALL INFORMATION ON THE SITE AND/OR INCLUDED IN E-MAILS DISTRIBUTED TO YOU BY GREATNONPROFITS.ORG IS PROVIDED TO YOU “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTY OF NON-INFRINGEMENT OR ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL GREATNONPROFITS.ORG BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SITE.
8. INDEMNIFICATION. You agree to indemnify, defend and hold harmless, GreatNonprofits, its affiliates, and their respective officers, directors, employees, agents, licensors, representatives, and third party providers, to and from and against all losses, expenses, damages and costs, including reasonable attorneys’ fees, resulting from any violation of this agreement by you. GreatNonprofits reserves the right to assume, at its sole expense, the exclusive defense and control of any matter subject to indemnification by you, in which event you will fully cooperate with GreatNonprofits in asserting any available defenses.
9. PRIVACY. For an explanation of our practices and policies related to the collection, use, and storage of our users’ information, please read our Privacy Policy.
10. APPLICABLE LAW. Any dispute arising from these Terms shall be resolved exclusively in the state and federal courts of the State of California.
11. OTHER TERMS. If any part of these terms and conditions are determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid enforceable provision that most closely matches the intent of the original provision, and the remainder of the agreement shall continue in effect. A printed version of these terms and conditions and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these terms and conditions to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. All rights not expressly granted herein are reserved.
12. MISCELLANEOUS. GreatNonprofits may assign this contract, in whole or in part, at any time with or without notice to you. You may not assign this contract, or any part of it, to any other party. Any attempt by you to do so is void. ANY CLAIM RELATED TO THIS CONTRACT OR THE SOFTWARE AND SERVICE MUST BE BROUGHT WITHIN ONE YEAR. THE ONE-YEAR PERIOD BEGINS ON THE DATE WHEN THE CLAIM FIRST COULD BE FILED. IF IT IS NOT, THEN THAT CLAIM IS PERMANENTLY BARRED. THIS APPLIES TO YOU AND YOUR SUCCESSORS. IT ALSO APPLIES TO US AND OUR SUCCESSORS AND ASSIGNS. The failure of GreatNonprofits to exercise or enforce any right or provision of the terms and conditions shall not constitute a waiver of such right or provision. The section titles in these terms and conditions are for convenience only and have no legal or contractual effect.
